Terms of Use

These Terms of Use (“Terms”) form a legally binding agreement between you (“you” or “User”) and Meshio (“we,” “us,” or “our”) governing your access to and use of the Meshio platform, including all related websites, applications, APIs, and services (collectively, the “Service”). By creating an account, accessing, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not use the Service.

01Eligibility

You must be at least 16 years old to use Meshio. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to “you” shall include that organization. You are prohibited from using the Service if you have been previously suspended or removed from the Service, or if you are located in a jurisdiction where use of the Service would violate applicable law.

02Account Registration and Security

To use Meshio, you must create an account using a valid email address or through a supported third-party authentication provider (e.g., Google, GitHub). You agree to provide accurate, current, and complete information during registration. You are responsible for:

  • Maintaining the confidentiality and security of your account credentials
  • All activity that occurs under your account, whether or not authorized by you
  • Notifying us immediately at security@meshio.so of any unauthorized access or security breach

We reserve the right to suspend or terminate accounts that violate these Terms, that we reasonably believe are being used fraudulently, or that pose a risk to the security or integrity of the Service. We may also require you to update your credentials or take other security measures if we detect suspicious activity.

03Acceptable Use

Meshio is provided for the purpose of managing, scheduling, publishing, and analyzing social media content. You agree to use the Service only for its intended purpose and in compliance with all applicable local, national, and international laws and regulations.

You agree not to:

  • Use the Service to distribute spam, malware, phishing attempts, or any harmful, misleading, or deceptive content
  • Attempt to gain unauthorized access to any part of the Service, other users’ accounts, or connected systems
  • Use automated scripts, bots, crawlers, or scrapers to access the Service beyond the provided interface and APIs
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
  • Resell, sublicense, lease, or redistribute access to the Service without our prior written consent
  • Use the Service in any way that violates the terms of service, community guidelines, or acceptable use policies of connected social media platforms
  • Publish content that infringes on intellectual property rights, promotes violence, constitutes hate speech, or is otherwise unlawful
  • Interfere with or disrupt the integrity or performance of the Service, including by uploading viruses or other malicious code
  • Circumvent, disable, or interfere with security features of the Service, including rate limits and access controls

We may investigate suspected violations and may report illegal activity to law enforcement authorities without prior notice to you.

04Content Ownership and Licenses

4.1 Your Content

You retain full ownership of all content you create, upload, or publish through Meshio, including post text, images, and media files (“User Content”). By using the Service, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, process, reproduce, and transmit your User Content solely for the purpose of operating the Service on your behalf. This license terminates when you delete your User Content or your account, except to the extent copies have already been distributed to third-party platforms at your direction.

4.2 AI-Generated Content

Meshio provides AI-powered features including content suggestions, improvement recommendations, performance insights, and experiment ideas. Any content generated or suggested by AI features is provided as a recommendation only. You are solely responsible for reviewing, editing, and approving all content before publication. We do not claim ownership of AI-generated suggestions that you choose to use or modify. You acknowledge that AI-generated content may not be eligible for intellectual property protection in all jurisdictions.

4.3 Platform Intellectual Property

The Meshio platform, including its design, source code, algorithms, features, documentation, brand assets, and all related intellectual property, is and remains our proprietary property (or the property of our licensors). These Terms do not grant you any rights to our intellectual property except the limited, revocable right to use the Service as described herein. You may not use our name, logo, or brand marks without our prior written consent.

05Connected Platforms

Meshio allows you to connect third-party social media accounts to publish content and retrieve analytics. By connecting a platform account, you:

  • Authorize Meshio to access that platform on your behalf using OAuth 2.0 with PKCE for secure authorization
  • Acknowledge that your use of connected platforms remains governed by their respective terms of service and privacy policies
  • Understand that platform API changes, deprecations, rate limits, or policy updates may affect Service functionality, and Meshio is not liable for such disruptions
  • Accept that we store encrypted authentication tokens (AES-256-GCM) to maintain your connections

You may disconnect any platform at any time from the Connections page. Upon disconnection, we will revoke the stored tokens and immediately cease accessing that platform on your behalf. You are responsible for also revoking Meshio’s access directly within the third-party platform settings if you wish to ensure complete disconnection.

06Scheduling and Publishing

Meshio provides content scheduling and automated publishing features. While we make commercially reasonable efforts to publish your content at the scheduled times, we cannot guarantee exact delivery times or successful publication due to factors including but not limited to platform API availability, rate limits, network conditions, token expiration, and system processing.

You are solely responsible for the content you publish through the Service, including its accuracy, legality, and compliance with applicable platform policies. Meshio does not pre-screen, review, or moderate content before publication. You acknowledge that published content is subject to the content policies and moderation systems of the destination platform, and that Meshio has no control over third-party enforcement actions taken against your content or accounts.

07AI Features and Limitations

Meshio incorporates AI-powered features to help you improve your content strategy. These features include content classification, performance insights, content improvement suggestions, content ideation, and growth experiments. AI features are powered by third-party providers, currently including OpenAI.

You acknowledge and agree that:

  • AI-generated suggestions are automated recommendations and may not always be accurate, appropriate, complete, or suitable for your audience or objectives
  • You are solely responsible for reviewing, verifying, and approving all AI-generated suggestions before acting on them or publishing them
  • AI features process your content and aggregated performance data through third-party AI providers, subject to their respective data processing terms
  • AI-generated insights are based on historical data and statistical patterns, and do not constitute professional advice or guarantee future performance
  • We may update, modify, or discontinue AI features at any time to improve accuracy, functionality, or to comply with regulatory requirements
  • AI outputs may be similar to outputs generated for other users, and no exclusivity is granted with respect to AI-generated content

08Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted, timely, or error-free access. The Service may be temporarily unavailable due to scheduled maintenance, updates, security patches, infrastructure incidents, or circumstances beyond our reasonable control.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will make reasonable efforts to provide at least 30 days’ advance notice of significant changes that may materially affect your use of the platform, except where changes are required by law or to address urgent security issues.

09Fees, Payment, and Refunds

Meshio may offer free and paid subscription tiers. If you subscribe to a paid plan, you agree to pay the applicable fees as described at the time of purchase. All fees are quoted in the currency displayed at checkout and are exclusive of applicable taxes unless otherwise stated.

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through the Settings page, and cancellation will take effect at the end of the current billing period. No partial refunds are provided for the unused portion of a billing period, except where required by applicable law.

We reserve the right to change our pricing with at least 30 days’ advance notice. Price changes will take effect at the start of your next billing period following the notice. Continued use of paid features after a price change takes effect constitutes acceptance of the new pricing. If you do not agree with the new pricing, you may cancel your subscription before the next billing period begins.

10Limitation of Liability

To the maximum extent permitted by applicable law, Meshio and its officers, directors, employees, affiliates, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of or inability to use the Service, including but not limited to:

  • Loss of revenue, profits, data, or business opportunities
  • Content that is published incorrectly, at the wrong time, to the wrong platform, or not published at all
  • Unauthorized access to your account due to compromise of your credentials
  • Inaccurate, incomplete, or inappropriate AI-generated suggestions or analytics
  • Suspension, restriction, or termination of your connected platform accounts by those platforms
  • Loss or corruption of User Content
  • Service interruptions, downtime, or data loss caused by infrastructure failures or third-party service outages

Our total aggregate liability for any and all claims arising from or relating to the Service shall not exceed the greater of (a) the total amount you paid us in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) fifty US dollars (US$50).

Nothing in these Terms shall exclude or limit liability that cannot be lawfully excluded, including liability for fraud, gross negligence, death or personal injury caused by negligence, or any other liability that cannot be excluded under applicable law.

11Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Without limiting the foregoing, we do not warrant that: (a) the Service will meet your specific requirements; (b) results obtained from AI features will be accurate, reliable, or complete; (c) the Service will be available at all times or free of errors, bugs, or security vulnerabilities; (d) any defects will be corrected within a specific timeframe; or (e) content published through the Service will be delivered successfully to third-party platforms.

12Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless Meshio and its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

  • Your use of or access to the Service
  • User Content you create, upload, or publish through the Service
  • Your violation of these Terms or any applicable law
  • Your violation of any third-party rights, including intellectual property rights
  • Any dispute between you and a third party (including social media platforms) relating to content published via the Service

We will provide reasonable notice of any such claim and cooperate in the defense at your expense.

13Copyright and Intellectual Property Claims

We respect the intellectual property rights of others. If you believe that content published through our Service infringes your copyright or other intellectual property rights, you may submit a notice to our designated agent at legal@meshio.so with the following information:

  • A description of the copyrighted work or intellectual property you claim has been infringed
  • The URL or other specific location within the Service where the allegedly infringing material is located
  • Your contact information (name, address, telephone, email)
  • A statement that you have a good-faith belief that the use is not authorized by the rights holder
  • A statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on their behalf
  • Your physical or electronic signature

We may remove or disable access to allegedly infringing content and may terminate accounts of repeat infringers at our discretion.

14Termination

You may stop using the Service and delete your account at any time through the Settings page. Upon account deletion, we will remove your personal data in accordance with our Privacy Policy.

We may suspend or terminate your account, with or without notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or if required by law or a valid legal process. We will make reasonable efforts to notify you before termination and provide an opportunity to export your data, except where prohibited by law, where immediate action is necessary to protect the Service or other users, or where providing notice would compromise an investigation.

Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination shall survive, including but not limited to Sections 4 (Content Ownership), 10 (Limitation of Liability), 11 (Disclaimer of Warranties), 12 (Indemnification), and 16 (Governing Law).

15Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, pandemics, war, terrorism, cyberattacks, power failures, internet or telecommunications outages, or third-party service provider failures.

16Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall first be resolved through good-faith negotiation between the parties for a period of at least 30 days. If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration administered by a mutually agreed-upon arbitration provider, with the arbitration conducted in English. The arbitrator’s decision shall be final and binding.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, collective action, representative action, or private attorney general action. You expressly waive any right to participate in a class action lawsuit or class-wide arbitration against Meshio.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

For users in the European Union, European Economic Area, or United Kingdom: This arbitration clause and class action waiver apply only to the extent permitted by the laws of your jurisdiction. Nothing in these Terms affects your statutory rights as a consumer, including your right to bring claims in your local courts.

17Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will provide notice through at least one of the following methods: posting a prominent notice within the Service, sending an email to the address associated with your account, or updating the effective date at the top of this page. Material changes will not apply retroactively and will take effect no sooner than 30 days after notice is given.

Your continued use of Meshio after the revised Terms take effect constitutes your acceptance of the changes. If you do not agree with the revised Terms, you must discontinue use of the Service before the changes take effect.

18General Provisions

18.1 Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Meshio regarding the Service and supersede all prior and contemporaneous agreements, proposals, or representations, written or oral.

18.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of Meshio.

18.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, provided the assignee agrees to be bound by these Terms.

18.5 No Third-Party Beneficiaries

These Terms do not confer any rights or remedies upon any person or entity other than the parties hereto.
